Terms & Conditions
1. Scope
These Terms and Conditions apply to all contracts for design and consulting services between Dana Westerhoff (hereinafter referred to as “the provider”) and the client.
2. Conclusion of Contract
A contract is concluded when the client accepts the offer from the provider in writing or electronically.
3. Scope of Services
The provider offers design and consulting services as described in the respective offer or project scope.
4. Prices and Payment Terms
As a small business owner in accordance with § 19 of the German VAT Act (UStG), no VAT is charged. All stated prices are final prices. The invoice amount is due in full without deduction within 14 days of the invoice date.
5. Client Obligation
The client shall provide all necessary content, materials, and information in a timely manner. Delays due to lack of cooperation may extend the project timeline.
6. Rights of Use and Copyright
The provider grants the client a non-exclusive, non-transferable, unlimited right of use in terms of time and geography for the agreed-upon purposes (e.g., website, social media, print). Copyright to the design work remains solely with the provider.
Any modifications or alterations to the designs by the client require the prior written consent of the provider.
The transfer of usage rights to third parties is only permitted with the provider’s written consent.
Any extended use, especially for commercial purposes beyond the agreed project scope, requires a separate license agreement.
7. Liability
The provider is liable only for intent and gross negligence. For slight negligence, liability applies only in the case of breach of essential contractual obligations.
8. Warranty
The customer must report defects in writing within 14 days of delivery. Rectifications shall be made within the scope of the contract.
9. Termination
Contracts may only be terminated in writing. In the event of early termination by the client, services already rendered shall be compensated proportionally.
10. Data Protection
The provider processes personal data confidentially and in accordance with the privacy policy.
11. Final Provisions
German law applies. The place of jurisdiction is Berlin.
